Terms of use

These terms govern access to and use of clientfocusllc.com and its related web properties (the "Site"), operated by Client Focus LLC ("Client Focus"). By accessing or using the Site, the visitor agrees to these terms. A visitor who does not agree should not use the Site. Services provided by Client Focus to clients are governed by separate written agreements, which prevail over these terms in the event of conflict.

1. Use of the Site

The Site is provided for informational purposes to businesses and their representatives. Visitors may view, download and print pages for internal business reference, provided that copyright and other proprietary notices are retained. Visitors may not: use the Site in any way that violates applicable law; attempt to gain unauthorized access to any part of the Site or its supporting systems; introduce malicious code; use automated means to scrape, harvest or index the Site other than public search engines following robots.txt; interfere with the operation or security of the Site; or use the Site to transmit unsolicited communications.

2. Information, not advice

Content on the Site, including descriptions of services, operating models, service level targets, regulatory summaries and insights, is provided for general information. It is not legal, regulatory, financial, investment, tax or security advice and should not be relied upon as such. Service levels, response targets, escalation arrangements and scope of services are stated only in the written agreement between Client Focus and its client. Certifications and attestations held by Client Focus are described on the Trust and compliance page and are available for verification on request.

3. Intellectual property

The Site and its content, including text, graphics, photographs, logos, the Client Focus name and three-ring mark, the C'ROC name and mark, page design and underlying code, are owned by or licensed to Client Focus and are protected by copyright, trademark and other intellectual property laws of the United States and other countries. Except as expressly permitted in section 1, no part of the Site may be reproduced, distributed, modified, transmitted, displayed or used for commercial purposes without the prior written consent of Client Focus. Third-party trademarks, product names and platform names mentioned on the Site are the property of their respective owners, and reference to them indicates delivery experience only and does not imply endorsement, affiliation or sponsorship.

4. Submissions

Information submitted through the inquiry form or by email is handled in accordance with the Privacy notice. Visitors should not submit confidential information through the Site before a non-disclosure agreement is in place. By submitting feedback, suggestions or ideas about Client Focus services, the visitor grants Client Focus a non-exclusive, royalty-free license to use them without obligation.

5. Third-party links

The Site contains links to websites operated by third parties, including thecroc.ai, professional networking services and regulatory bodies. Those websites are not under the control of Client Focus, and Client Focus is not responsible for their content, availability, privacy practices or security. Links are provided for convenience and do not constitute endorsement.

6. Disclaimer of warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability or freedom from errors or harmful components. Client Focus may modify, suspend or discontinue any part of the Site at any time without notice.

7. Limitation of liability

To the fullest extent permitted by law, Client Focus, its members, officers, employees, contractors and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with the use of or inability to use the Site, even if advised of the possibility of such damages. To the extent liability cannot be excluded, the aggregate liability of Client Focus in connection with the Site shall not exceed one hundred United States dollars (USD 100). Nothing in these terms excludes liability that cannot be excluded under applicable law.

8. Indemnity

The visitor agrees to indemnify and hold harmless Client Focus and its members, officers, employees, contractors and affiliates from any claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising out of the visitor's breach of these terms or misuse of the Site.

9. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Loudoun County, Virginia, and the visitor consents to personal jurisdiction in those courts. Nothing in this section prevents Client Focus from seeking injunctive relief in any competent court.

10. Export and sanctions compliance

The visitor represents that it is not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive United States sanctions, and is not a person listed on a United States government restricted-party list. Client Focus reserves the right to decline inquiries and engagements to comply with sanctions and export control laws.

11. Accessibility

Client Focus is committed to making the Site accessible to people with disabilities. Details of the conformance target, measures taken and how to report difficulties are set out in the Accessibility statement.

12. General

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions remain in full force. Failure by Client Focus to enforce any provision is not a waiver of that provision. These terms, together with the Privacy notice, constitute the entire agreement between the visitor and Client Focus regarding use of the Site. Client Focus may revise these terms at any time by posting an updated version with a new effective date; continued use of the Site after the effective date constitutes acceptance.
